1. Introduction
Pathmaker (“Pathmaker”, “we”, “us”, or “our”) is a boutique partner for foreign founders, remote workers, business owners, and retirees who wish to build a compliant and sustainable presence in Indonesia. These Terms of Service (“Terms”) govern your use of the Pathmaker website, any content we make available, and any non-confidential communications you have with us prior to a formal engagement.
A separate letter of engagement, mandate, or services agreement (“Engagement Letter”) will govern any paid or bespoke professional services we provide to you. If there is a conflict between these Terms and an Engagement Letter, the Engagement Letter will prevail for that specific engagement.
2. Eligibility & acceptable use
You may use this website only if you are at least 18 years old and legally capable of entering into binding contracts under the laws that apply to you. You agree not to use this website or our services for any unlawful, fraudulent, or abusive purpose, including activities that breach Indonesian law, foreign exchange rules, or anti-money-laundering regulations.
3. No legal, tax, or investment advice
Information on this website is for general educational purposes only. It does not constitute legal, tax, financial, or investment advice and should not be relied upon as such. Laws and regulations in Indonesia and in your home country change frequently and may apply differently to your specific circumstances.
Any decision to invest, relocate, establish a company, or obtain a visa remains your responsibility. We strongly encourage you to obtain independent advice from licensed professionals in all relevant jurisdictions.
4. Engagement process
Contacting us via WhatsApp, email, form, or any other channel does not, by itself, create a client relationship. A client relationship with Pathmaker starts only when:
- we have reviewed your situation, and
- we have issued, and you have accepted, an Engagement Letter or proposal that clearly sets out scope, fees, and responsibilities.
Until that happens, any information you share with us may be treated as preliminary and non-confidential, and we may decline to act for you for any reason, including conflicts of interest or compliance concerns.
5. Fees, payment & refunds
Our fees, payment schedules, and any refund policy are set out in the relevant Engagement Letter or proposal. Unless stated otherwise, fees are quoted before taxes, official government charges, or third-party costs and may be payable in advance.
Government fees, notary charges, and other external costs are outside our control and may change without prior notice. Where possible, we will inform you of such changes and adjust invoices accordingly.
6. Client responsibilities
Our ability to deliver accurate work depends on the information and documents you provide. You agree to:
- provide accurate, complete, and honest information;
- inform us promptly of any changes to your situation; and
- review drafts, filings, and documents in a timely manner, and raise any questions before they are submitted.
We are not responsible for losses or delays caused by inaccurate information, late responses, or your failure to follow our guidance or applicable laws.
7. Third-party professionals & platforms
To serve you better, we may collaborate with notaries, law firms, tax advisors, payroll providers, visa agents, and other third-party professionals (“Partners”). We may also use technology platforms (for example, e-signing tools, cloud storage, or CRM systems).
While we aim to work only with reputable Partners, we are not responsible for their independent acts, omissions, or advice, except where we specifically state otherwise in writing.
8. Compliance, KYC & right to refuse
Pathmaker is committed to complying with Indonesian law and international standards on anti-money-laundering, sanctions, anti-corruption, and tax transparency. We may request identity documents, corporate records, source-of-funds information, and other due-diligence materials (“KYC information”) before or during an engagement.
We may decline or terminate an engagement if you fail to provide required KYC information, if we suspect unlawful activity, or if continuing to act for you may expose us or our Partners to regulatory risk. Where allowed by law, we will inform you of the reason in general terms.
9. Limitation of liability
To the maximum extent permitted by law, Pathmaker and its directors, employees, and Partners will not be liable for:
- indirect, consequential, or punitive damages;
- loss of profits, revenue, business opportunities, or goodwill; or
- any loss arising from events beyond our reasonable control, including government delays, system outages, or regulatory changes.
Where our liability cannot be excluded, it will be limited, in the aggregate, to the total professional fees you have paid to us under the specific engagement giving rise to the claim.
10. Confidentiality & data protection
We treat information you share with us in the course of an engagement as confidential, and we use it only for purposes connected with the services you request, unless we are required to disclose it by law or regulation.

11. Intellectual property
The Pathmaker website, branding, illustrations, copywriting, and any proprietary frameworks or tools we share with you are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from them without our prior written consent, except for your own internal use in evaluating or using our services.
12. Changes to the website & these Terms
We may update, modify, or discontinue any part of the website or our services from time to time. We may also update these Terms. When we make material changes, we will update the “Last updated” date above and, where appropriate, highlight the changes on this page.
Your continued use of the website after changes become effective will constitute your acceptance of the updated Terms.
13. Governing law & dispute resolution
These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms or our services will first be discussed in good faith between you and Pathmaker.
If no resolution is reached, the dispute may be submitted to the competent courts in Indonesia or to another dispute-resolution forum agreed in the relevant Engagement Letter.
